 LEGAL SERVICES
MUNICIPAL FINANCE
The Firm has performed legal analysis and examination of documents relating to the issuance and sale of General Obligation and
Revenue raising municipal bonds. We attest to the purpose, security, and authority for bond issuance, and have participated in public offerings. Our counsels have
reviewed local statutes, regulations and rulings associated with municipal finance, which required substantive knowledge of applicable Federal income taxation and tax exemption, code sections and their
applicability. Our services also include rendering opinions as tax counsel on bond issues.
TAXATION
The McRae Firm represents clients before all legislative and
administrative bodies, tax return preparation, tax law compliance (federal, state and local), administration of trusts and estates,partnership tax and allocations, tax accounting and utilization
of tax credits (enterprise zones, low income housing, investment tax and foreign tax credits). We also represent clients before the Internal
Revenue Service, in the Appeals process and at all levels of State and Federal Courts.
Our clients are advised on the tax ramifications on all transactions,
this includes simple property acquisitions to multi-million dollar mergers.
BANKRUPTCY
The Firm specializes in Bankruptcy, Liquidations and
Reorganizations. Our work in bankruptcy includes assisting our clients to reorganize and/or liquidate assets in a client-tailored manner
designed to protect debtors as well as creditors, and to promote the integrity of the bankruptcy process.
We also serve as Chapter 7 Trustee and counsel in connection with
the administration, confirmation and preparation of Reorganization Plans. This area of our practice also advises owners of closely held
corporations and businesses regarding post-confirmation issues and financial arrangements.
SPORTS & ENTERTAINMENT
Our Sports and Entertainment practice involves representing athletes,
musicians, writers, artists and other entertainers with contract negotiations, tax planning, deferred compensation and pension plans.
We also represent professional sports and entertainment unions. Other aspects of this practice include copyrights, trademarks, servicemarks, song writing and literary representation.
FINANCIAL SERVICES
INVESTMENT & FINANCE
In conjunction with its representation of clients in the municipal finance
and bond-securities area, the firm has established joint venture relationships with both accounting firms and financial advisors. The
financial advisors act as managing underwriters and underwrite the sale of securities offered along with coordinating the necessary investment banking firms complete with placement agents to
participate in securitization programs.
UNDERWRITING SERVICES
The Underwriting Services Function is responsible for performing
financial underwriting and credit review of SBA 504, SBA 7 (a) Loans and review of development financing solutions for small and minority businesses. The Underwriting Services Funtion comtemplates
traditional and non-traditional lending.
SURETY BONDING SERVICES
The Surety Bonding Function consists of the management of the
out-sourced back-room operations for Surety Bonding. These out-sourced functions include underwriting, bond processing, and claims processing. The Surety Bonding Function also includes the
acquisition and maintenance of minority business certifications and compliance with state insurance regulatory agencies. The McRae Firm has established an alliance with Contractors Surety Insurance
company (CSIC), to provide Surety Bonds, Appeal Bonds, and Bail Bonds.

The McRae Firm (formerly Randy McRae &
Associates), is a well- established organization in the Washington Metropolitan Area accounting and auditing core, since 1989, that brings together experienced CPA’s who have experience assisting
government agencies and private international (Big Six) firms.
The McRae Firm offers a broad range of accounting an auditing
services for clients involved in all aspects of business transactions, federal and local governments and private sector organizations. We
provide advice and assistance for external audits, internal audits, business transactions, and compliance reviews. We also provide representation before the Internal Revenue Service and counseling
before government agencies and legislative bodies.
The McRae Firm practices a philosophy of utilizing best practices and
